Gilbarco Veeder-Root Enters Exclusive Discussions with TSG to Explore Strategic Alternatives for European Service Operations
Gilbarco Veeder-Root, a global leader in fueling and convenience store technology, has entered into exclusive discussions with TSG (Technical Services Group), the premier European provider of technical services for mobility and energy distribution solutions. The aim of these discussions is to explore the potential divestment of Gilbarco Veeder-Root’s in-house service business across eight European countries. This strategic evaluation reflects Gilbarco’s long-term goal to streamline its business operations and focus more sharply on its core manufacturing and technology competencies.

As part of the preliminary agreement, both companies are working toward a transaction that would see TSG acquire and operate Gilbarco Veeder-Root’s service units in the United Kingdom, Denmark, Finland, Norway, Sweden, Estonia, Latvia, and Lithuania. The potential deal is framed as a mutually beneficial arrangement that will ensure continuity of service for existing customers, increase operational efficiencies, and strengthen the partnership between the two companies.
A Strategic Move Toward Core Focus
Gilbarco Veeder-Root has long held a unique position in the European market as the only original equipment manufacturer (OEM) offering direct, in-house service capabilities for its fueling and convenience store solutions. However, as the mobility landscape evolves, the company has increasingly focused on leveraging its strengths in technology development, equipment manufacturing, and digital services. Divesting from direct service operations aligns with this refined strategic direction, allowing Gilbarco to redirect resources toward its innovation pipeline, global product development, and software platform advancements.
“Gilbarco Veeder-Root sees significant benefits from this potential transaction,” said Dave Coombe, President of Gilbarco Veeder-Root. “Our relationship with TSG has always been rooted in trust, professionalism, and aligned values. By transitioning our service operations in these key countries to a trusted and capable partner, we are not only streamlining our business, but also reinforcing our commitment to deliver exceptional customer support through a broader, more agile network.”
Coombe added that this step would allow Gilbarco Veeder-Root to deepen its collaboration with TSG, a company that already operates one of the most extensive technical services networks in Europe. “This agreement, if implemented, would bolster TSG’s position in these markets while enhancing Gilbarco Veeder-Root’s service reach across Europe and Africa. Our customers will continue to receive the quality and reliability they expect—now delivered with greater scale and efficiency.”
TSG’s Expanding Footprint
TSG, headquartered in France, has emerged as the leading service and solutions provider for all forms of mobility energy infrastructure across the continent. The company operates in more than 30 countries and provides installation and maintenance services for fuel stations, electric vehicle (EV) charging points, hydrogen fueling systems, and LPG/LNG networks. TSG’s 6,000+ employees manage over 40,000 sites across Europe, making the group a critical player in the region’s evolving energy and transportation ecosystem.
Jean-Marc Bianchi, CEO of TSG, emphasized the significance of this potential partnership with Gilbarco Veeder-Root: “We see significant opportunities in this proposed agreement. It aligns perfectly with our strategic roadmap and would allow us to reinforce our presence in Northern and Eastern Europe. Our experience managing a broad range of energy distribution technologies ensures we are well-positioned to absorb and grow these service operations.”
Bianchi noted that TSG intends to elevate the standard of maintenance and technical support for Gilbarco Veeder-Root customers in these regions. “By integrating Gilbarco Veeder-Root’s existing service teams into our network, we aim to not only maintain but enhance the quality of customer support. We are focused on delivering seamless, consistent service levels across borders and energy platforms.”
Eight Countries, One Unified Vision
The potential transaction involves transferring Gilbarco Veeder-Root’s service business in eight specific European markets:
- United Kingdom
- Denmark
- Finland
- Norway
- Sweden
- Estonia
- Latvia
- Lithuania
These markets represent a strategic mix of mature and emerging economies in Northern and Eastern Europe. Each country is undergoing its own transition in mobility infrastructure—from traditional fuel-based systems to electrified and renewable alternatives. TSG’s leadership in both conventional and next-generation energy solutions makes it an ideal partner to manage this shift at scale.
TSG has expressed its intent to retain local teams and enhance operational capacity in these markets, which will help ensure business continuity and employee stability. Both companies have emphasized that any transaction would be handled with a strong focus on the customer experience, with no disruptions expected during or after the potential transition.
Ensuring Seamless Transition for Customers
If the discussions culminate in a finalized deal, Gilbarco Veeder-Root and TSG will coordinate a seamless transition plan to ensure uninterrupted service delivery. TSG’s operational excellence, customer-centric model, and robust logistics infrastructure are expected to facilitate a smooth integration of the new assets. Customers will continue to benefit from Gilbarco’s advanced hardware and software solutions, supported by TSG’s field service teams.
Gilbarco Veeder-Root plans to remain closely involved in service delivery through ongoing collaboration with TSG, particularly in areas like product training, technical standards, and software integration. This hybrid approach will ensure that customers experience a consistent service interface, even as the operational ownership shifts.
A Future-Ready Collaboration
The energy and mobility sectors are undergoing a profound transformation, driven by decarbonization, digitization, and evolving consumer demands. Both Gilbarco Veeder-Root and TSG have demonstrated their ability to adapt and lead in this shifting landscape.
Gilbarco’s strength in designing connected systems—spanning fuel dispensers, payment terminals, and point-of-sale platforms—makes it a global technology pioneer in retail fueling. Meanwhile, TSG’s reputation for on-the-ground technical expertise and cross-platform support ensures its relevance in every phase of a site’s lifecycle, from installation to maintenance and upgrades.
The two companies are no strangers to collaboration. This deepening of their partnership through the potential service divestiture signals a broader trend in the industry: OEMs focusing on core innovation and delegating field service to trusted, specialized partners. It’s a model that supports scalability, drives cost-efficiency, and—most importantly—improves the customer experience.
